Corporate Services

Nordic Compliance Services A/S performs the corporate services for Danish entities of foreign limited liability companies.

These services for the Danish entity will generally be the day-to-day operations of the relevant entity. Recognising that all companies are different, we ensure that the agreement is tailored to cater for your exact wishes and needs.

Examples of day-to-day operations include the following:
 

  1. Updating/maintenance of mandatory corporate documentation, thereby ensuring compliance with various requirements of Danish company law to which the Danish entity, the main company and/or the branch are subject.
     
  2. Retention of mandatory corporate documentation for a minimum period of five years after its dating, unless the corporate services agreement ends prior to the expiry of the five-year period, resulting in the return of documentation according to agreement with the client, or unless, under the main company’s and/or branch’s national regulations, the main company and/or branch are obliged to retain the corporate documentation for longer than a five-year period.
     
  3. Control and verification of the beneficial owners and management of the Danish entity, the main company and/or branch
     
  4. Ongoing updating of the Danish entity’s register of shareholders in the event of changes in owners etc.
     
  5. Convening and, if needed, attending general meetings of the Danish entity, where, according to section 88 of the Danish Companies Act, resolutions on the following must, as a minimum, be passed: i) approval of the Danish entity’s annual report, ii) appropriation of profit or covering of loss as recorded in the approved annual report, iii) any change to a resolution concerning the auditing of the Danish entity, iiii) any other business which, according to the articles of association of the Danish entity, is to be transacted by the general meeting
     
  6. Registration of information subject to the duty to register, cf. the Danish Companies Act and the Danish Executive Order on application for registration, etc.
     
  7. Ongoing control of hard-copy mail, emails and mail received through the Danish entity’s digital mailbox (e-Boks)
     
  8. Assistance in communication with business partners, auditors and public authorities, and the extent of this assistance depends on the agreement concluded between the client and Nordic Compliance Services A/S 
     
  9. Ongoing dialogue with the main company and/or the branch about company law issues of relevance to the Danish entity.
